1. Scope of Service & Platform Role

• Data Provider Status: KisoBase is a technology and information platform; we are not a licensed real estate brokerage, financial advisor, or legal counsel.

• No Professional Advice: The “Institutional Roadmap,” “Yield Calculators,” and “Risk Reports” are provided for analytical purposes only and do not constitute financial or investment advice.

• Accuracy of Data: While KisoBase uses its best efforts to verify “Red Flags,” all data is provided “as is.” Users acknowledge that Japanese property data can be subject to rapid changes in the market.

2. Directory Access & Intellectual Property

• Access License: Upon verification, KisoBase grants a non-transferable, limited license to access the Asset Directory for internal investment analysis only.

• Prohibition of Scraping: Users are strictly prohibited from using automated tools (scrapers, bots) to extract listing data or redistributing KisoBase reports to third-party platforms.

• Confidentiality: Off-market deals and “Family Office” tier listings are considered highly confidential and may not be disclosed to outside entities without written consent.

3. Due Diligence & Liability

• Investor Responsibility: The “12-point verification” is a preliminary screen. The final responsibility for comprehensive due diligence—including structural, legal, and financial audits—rests solely with the Buyer.

• Limitation of Liability: KisoBase shall not be liable for any investment losses, property defects, or financing failures resulting from the use of platform data.

• Indemnification: Users agree to indemnify KisoBase against any claims arising from their breach of these terms or their reliance on third-party data integrated into the platform.

4. Fee Structure & Payments

• Subscription Tiers: Fees for “Explorer,” “Deal Hunter,” and “Family Office” tiers are billed in advance and are non-refundable.

• Transaction Transparency: KisoBase does not charge a “Success Fee” or “Brokerage Commission” unless a separate “Capital Introduction” or “Mandate Agreement” is signed between the parties.
